1. Acceptance of Terms
By accessing or using Cuiscore (the “Service”), you agree to be bound by these Terms of Service and all terms incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Cuiscore is a software-as-a-service platform that helps restaurants and food-service businesses conduct internal health inspections, track compliance, and prepare for regulatory inspections. The Service includes inspection checklists, scoring, reporting, reminders, and AI-assisted compliance guidance. We may add, modify, or remove features from time to time at our discretion.
3. User Accounts
To use most features of the Service you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Subscription and Payment
Paid plans are billed on a recurring subscription basis according to the pricing displayed at the time of purchase. All payments are processed by Lemon Squeezy, which acts as our Merchant of Record and handles billing, sales tax, and payment-related compliance on our behalf. By subscribing, you authorize Lemon Squeezy to charge your chosen payment method on a recurring basis until you cancel.
5. Free Trial
We may offer a free trial that allows you to evaluate the Service before subscribing. Free trials are limited in scope and usage, and the specific limits are shown within the product. We reserve the right to modify or discontinue free trials at any time, and to determine your eligibility for a trial.
6. Cancellation and Refunds
You may cancel your subscription at any time from your account settings, and your plan will remain active until the end of the current billing period. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused time. Refund requests, where applicable, are handled in coordination with Lemon Squeezy as our Merchant of Record.
7. User Data and Privacy
You retain ownership of the inspection, compliance, and business data you submit to the Service. Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the data practices described in that policy.
8. Acceptable Use Policy
You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, reverse-engineering any part of it, or using it to store or transmit unlawful, infringing, or malicious content. You may not use the Service to violate the rights of others or any applicable law or regulation. We may suspend or terminate accounts that violate this policy.
9. Intellectual Property
The Service, including its software, design, templates, and content (excluding your data), is owned by Cuiscore and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. No rights are granted except as expressly set out in these Terms.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Cuiscore is a compliance management tool and does not guarantee any specific regulatory outcome or that your business will pass any official inspection. You remain solely responsible for your compliance with all applicable health, safety, and food-service regulations.
11. Limitation of Liability
To the maximum extent permitted by law, Cuiscore and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.
12. Changes to Terms
We may update these Terms from time to time to reflect changes to the Service or for legal or regulatory reasons. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
